Angela Kwok is an experienced corporate attorney focusing on corporate transactions, particularly in VC/PE fund formation and operations, start-ups, venture capital, mergers and acquisitions, and related tax matters. She assists clients in capital markets and securities law compliance matters (’34’ Act periodic filings and beneficial ownership reporting) and serves clients in the blockchain industry.

Angela supports emerging companies and founders with business structures, entity formations, general corporate and employee incentive matters, and venture capital financings and deal negotiations. She has led numerous VC deals, including SAFEs, convertible notes, and seed to Series A-E equity rounds. Angela also advises companies in the U.S. and the People’s Republic of China (PRC) on cross-border VC investments, IP licensing transactions, joint ventures, and other strategic partnerships.

Angela has extensive experience advising clients on fund formation and ongoing operations. Her fund clients include VC and PE funds focusing on high-tech, fintech, biotech, the pharmaceutical industry, and consumer products.

Prior Associations
Angela was previously associated with Wilson Sonsini Goodrich & Rosati P.C. and King & Wood Mallesons LLP. She also served as general counsel of CBC Capital, a venture capital firm, where she managed legal matters related to four main funds in various stages with AUM of US$2 billion and their investment portfolios in the high-tech industry in both the PRC and U.S. markets. Before that, she worked at PwC as part of its U.S. tax consulting group based in its Hong Kong office.
